    Overview

Tokenised Asset Participation issues regulated digital tokens that represent beneficial interests in an underlying SPV. Each token is a security under applicable law and is restricted to qualified investors within an approved whitelist.

Distributions, redemptions, and transfers are executed on chain against the token, while the underlying economic interest sits in a conventional SPV structure.

    Structure
    • 01SPV issues tokens to qualified investors against subscription; tokens are recorded on a regulated ledger.
    • 02Smart contracts enforce whitelist restrictions, lock up periods, and distribution mechanics.
    • 03Off chain documentation (subscription agreement, constitutional documents) remains the binding legal record.
    Eligible investors
    • Digital native family offices and HNW investors
    • Allocators seeking optional secondary liquidity within whitelisted pools
    • Institutional investors testing regulated tokenisation rails
