    KingdomPay

The settlement spine of Kingdom Capital

KingdomPay brings together the payment, ownership and reporting processes behind private capital programmes. The aim is straightforward: clear instructions, checked approvals and records that investors and administrators can reconcile.

    Engage

Take KingdomPay into formal investor diligence.

    Mandate

    Four roles, one engine

KingdomPay holds four operational mandates, Payments, Registry, Settlement, Reporting, executed from one platform, against one ledger, under one set of controls.

In conventional private capital structures, these four mandates live in different systems and different organisations: a bank moves the cash, a fund administrator keeps the register, a custodian settles the security, an accounting team produces the report. Each boundary is a source of latency, reconciliation drift, and disputed truth.

KingdomPay consolidates the four mandates into a single engine. Cash, registry, settlement, and reporting share one canonical record and one identity model. A subscription is not a sequence of emails followed by retroactive bookkeeping, it is a single atomic operation that updates cash, ownership, and the investor statement in one motion.

The platform never replaces licensed custodians or bank counterparties. It coordinates them, with policy enforced instructions, deterministic settlement, and an immutable transaction lineage that every participant can read.

    The Four Roles

    What KingdomPay actually does

    Role 01

    Payments

The cash movement engine across the platform.

    • Multi currency operating accounts per SPV, with USD denominated investor flows and local currency deployment legs.
    • Pre funded liquidity buffers, FX policy execution, and counterparty diversification across licensed banks and custodians.
    • Payment controls include approval by two authorised people, sanctions checks and verification of the intended beneficiary.
    • Real time payment status reconciliation between bank rails, the internal ledger, and the investor record.
    Role 02

    Registry

The authoritative record of who owns what, and on what terms.

    • Investor by investor holdings across notes, equity, convertibles, and co investment interests, scoped per SPV.
    • Cap table integrity maintained continuously, not periodically, every subscription, redemption, and transfer settles into the registry as a single atomic update.
    • KYC, suitability, and beneficial owner state held alongside holdings, so entitlement checks resolve without external lookups.
    • Audit grade lineage: every position has a traceable origin instruction, approver, and counterparty leg.
    Role 03

    Settlement

The connective tissue between instruction, cash, and ownership.

    • Atomic settlement of the three legs of every transaction, cash movement, registry update, and document generation, eliminating partial state exposure.
    • Deterministic handling of subscriptions, capital calls, distributions, coupon payments, secondary transfers, and corporate actions.
    • Exception management follows clear, rigorous workflows. Failed wires, returned funds, sanctioned counterparties and KYC lapses each have a defined resolution path.
    • Reconciliation collapses from a recurring project into continuous monitoring against the canonical ledger.
    Role 04

    Reporting

Investor, regulator and board ready reporting from a single trusted source.

    • Capital account statements, performance attribution, and cash flow schedules generated from the same warehouse that runs the operation.
    • Quarterly investor packs assembled as a snapshot of an already current state, not retroactively reconstructed.
    • Regulator facing filings, FATCA / CRS, AML transaction reporting, Mauritius regulatory returns, drawn from the same primitives, ensuring numerical consistency across every artefact.
    • Read only investor access through the Investor Centre, with role scoped views for administrators, auditors, and the Investment Committee.
    Transaction Lifecycle

    From instruction to investor record

Every cash movement on the platform, whether a subscription, distribution, capital call, or transfer, follows the same five step lifecycle, executed deterministically and recorded immutably.

    Step 01

    Instruction

An investor subscription, capital call, distribution, or transfer enters the platform with structured terms and policy context attached.

    Step 02

    Validation

AML, sanctions, suitability, and entitlement checks execute deterministically; any failure routes to a defined exception workflow.

    Step 03

    Approval

Approval requirements depend on the instruction and amount. The record should identify who checked and authorised the transaction.

    Step 04

    Settlement

Cash legs execute over bank rails; registry updates and documents generate atomically once settlement is confirmed.

    Step 05

    Reporting

The transaction lands in the canonical ledger immediately; investor statements and dashboards reflect the new state without batch delay.

    Operating Controls

    What the platform enforces

Effective controls combine technology with accountable people. Investors should review the arrangements that apply to their programme, including approvals, custody, reconciliation and reporting.

    Segregation by SPV

Cash, securities, and registry state are partitioned per SPV. Investor recourse is ring fenced to the specific opportunity at all times.

    Policy enforced in code

AML, sanctions, suitability, FX limits, and approval thresholds are executed by the platform, not by humans following a checklist.

    Multi currency, single ledger

USD investor flows and local currency deployment legs reconcile to one canonical ledger, with FX policy applied consistently across SPVs.

    Custody and counterparty discipline

Licensed custodians and bank counterparties hold positions and cash; KingdomPay coordinates instruction and reconciliation, never custody itself.

    Audit grade lineage

Every cash movement, registry update, and document carries an immutable trail of instruction, approver, and counterparty leg.

    Investor facing transparency

Investors see their own positions, transactions, and statements through the Investor Centre, sourced from the same record that runs the operation.

    Control Environment

    Designed for institutional scrutiny

KingdomPay is built to be reviewed, by auditors, regulators, investor due diligence teams, and the Kingdom Capital Board.

Identity, sanctions, suitability, FX limits, and approval thresholds are expressed as policy code that executes on every relevant transaction. There is no path outside the ledger, no manual override that bypasses the lineage, no spreadsheet that lives outside the record.

Auditors trace any line in any statement to the originating instruction, the approver, the counterparty leg, and the bank confirmation. Investor due diligence teams receive read access against the same record their own statements are produced from.

The Investment Committee and Board receive exposure, concentration, and compliance dashboards that are not periodic reports but live cuts of the operating state, the same state that produced the most recent investor distribution.
